Terms of Service
These Terms of Service ("Terms") govern your access to and use of LeadFlow ("Service", "Platform", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms.
1. The Service
LeadFlow provides a SaaS platform for business outreach automation including lead extraction via Google Places API, WhatsApp Business messaging via Meta's official Cloud API, email outreach, and AI-powered message generation. The Service is intended for legitimate B2B marketing and business development purposes only.
2. Eligibility
- You must be at least 18 years old to use this Service
- You must be using the Service for legitimate business purposes
- You must have the legal right to contact the leads you collect or import
- You must comply with all applicable laws in your jurisdiction
3. Acceptable Use
You agree to use the Service only for lawful purposes. You must NOT:
- Send spam, unsolicited bulk messages, or messages to people who have opted out
- Violate WhatsApp Business API terms of service or Meta's policies
- Send messages that are deceptive, fraudulent, or misleading
- Harvest or misuse personal data in violation of applicable privacy laws (GDPR, CAN-SPAM, CASL, PDPA, etc.)
- Use the platform for phishing, scams, or other fraudulent activities
- Attempt to circumvent platform limits or abuse the scraping infrastructure
- Resell, sublicense, or provide unauthorized access to the platform
- Reverse engineer or attempt to extract source code from the platform
- Use the AI auto-reply feature without proper disclosure that recipients may be interacting with an AI
4. WhatsApp API Compliance
You are solely responsible for your use of the WhatsApp Business API credentials you connect to this platform. You must:
- Have an approved WhatsApp Business API account from Meta
- Comply with Meta's WhatsApp Business Policy and Commerce Policy
- Only send messages to users who have opted in or where you have a legitimate business relationship
- Disclose when using AI auto-reply features, as required by Meta's policies
- Respect opt-out requests immediately
5. Payment Terms
- Subscriptions are billed monthly in advance
- All payments are processed by Stripe and are non-refundable unless required by law
- Prices may change with 30 days' notice
- Failed payments may result in service suspension after a grace period
- You are responsible for all taxes applicable to your subscription
6. Cancellation
You may cancel your subscription at any time from your billing dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to the platform until that date. No partial refunds are issued for unused time.
7. Data Ownership
You retain full ownership of all lead data, campaign content, and other content you create or upload to the platform. You grant us a limited license to store and process this data solely to operate the Service. We do not claim ownership of your data.
8. Intellectual Property
The LeadFlow platform, including its design, code, and features, is our proprietary property. You may not copy, reproduce, or create derivative works without our written permission.
9. Third-Party APIs
The Service integrates with third-party APIs including Google Places, Meta WhatsApp, OpenAI, and Stripe. Your use of these integrations is also subject to those providers' terms of service. We are not responsible for changes to third-party APIs that affect the Service.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR APPROPRIATE. YOU USE THE SERVICE AT YOUR OWN RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
12. Indemnification
You agree to indemnify and hold harmless LeadFlow and its operators from any claims, damages, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights including privacy rights; (d) messages you send using the platform.
13. Account Termination
We reserve the right to suspend or terminate your account immediately, without notice, if you violate these Terms, engage in fraudulent activity, or use the platform in a manner that harms other users or third parties. Refunds will not be issued upon termination for cause.
14. Affiliate Program
The affiliate program is subject to additional terms. Commissions are paid at our discretion. We reserve the right to disqualify affiliates who use fraudulent or deceptive promotional methods. Commission rates and structures may change with 30 days' notice.
15. Governing Law
These Terms are governed by the laws of the jurisdiction in which the operator is registered. Any disputes shall be resolved through binding arbitration or the courts of that jurisdiction.
16. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes constitutes your acceptance.
